What is Datasite Diligence?

Datasite Diligence™ serves as the hub for conducting due diligence, offering a range of advanced data room technologies to optimize deal-making. By harnessing machine-learning models trained on an extensive repository of over three million documents, it offers a competitive edge in transactions.

Datasite Diligence accelerates deal closures and enables users to approach negotiations with assurance, unburdened by the complexities of due diligence. The Datasite platform streamlines the sell-side process, automating various manual tasks involved in deal preparation.

Datasite's users can:

- Upload and organize content through drag-and-drop actions or direct email integration.

- Manage request lists within the virtual data room (VDR) and grant access to relevant documents for various workstreams.
- Set up workflows, roles, and categories with an integrated Q&A system. Common questions and responses can be elevated to the FAQ section for quick reference, and exporting the entire Q&A data to Excel is easily done.
- Enhance redaction efforts using the platform's AI capabilities. Identify specific words or Personal Identifiable Information (PII) across the data room and mark or unmark text or areas for redaction, all while categorizing the reasons behind each redaction.
- Ensure accurate search results, regardless of the document's language, with the platform's Optical Character Recognition (OCR) engine, supporting 16 languages.
- Keep a close eye on engagement and behavior within the data room software, even at the individual page level. With near real-time reporting and the option to create custom dashboards, users are kept well-informed with automated reporting schedules for convenience.

Whatever the business, industry, purpose, or role, Datasite Diligence™ offers features to conduct due diligence more efficiently and confidently. From automated content management and integrated Q&A to upgraded redaction capabilities, multi-language search, and detailed engagement tracking, the data room platform is designed to facilitate smoother and faster transactions.

We use Merrill data rooms to efficiently share documents for diligence efforts between multiple parties (businesses, legal counsel, insurers, bankers). It solves the problem of taking document sharing off of an email platform and putting it on a central online cloud system that all parties can access simeltaneously.
  • Update emails notifying users of new uploads
  • Basic folder organization
  • Uploading is easy and intuitive
  • Identifying new uploads on the merrill website
  • Times out users too quickly
  • Searching all documents; poor functionality
Well suited for a basic document sharing platform between 2-3 parties. I've found it less efficient and slow when you introduce over 10 users and multiple users uploading documents. I wish there was a way for merrill to highlight new documents from the last time that particular user logged in and viewed that folder.
  • Streamline document sharing
  • Slows down diligence efforts when it's difficult to identify new documents
  • Fair pricing
I prefer Firmex. They have a strong search function and a user interface that makes it easy to identify new documents. Merrill is robust and offers the same basic tools, but I find its interface less intuitive.

We use it as a data room repository for information that we share with external parties for multiple uses such as due diligence for financings and m&a and potential external partnerships. It allows us to quickly and efficiently select what types of information we share with different parties and monitor what data they look at and for how long. Most efficiently, it is all in a single place, so we do not have to upload all of the information to multiple portals.
  • Monitor users activity
  • Selectively allow which files certain users see
  • Too expensive
  • Transparency with pricing as data is added to the data room.
Merrill DatasiteOne is particularly useful with multi-party due diligence for business development purposes. It is not as necessary for sharing nonconfidential data.
  • We have successfully closed three financing on time while using the product.
  • We successfully ran a business development international out-license process to completion.
We have established a relationship with Merrill DatasiteOne and excellent customer service in comparison to these competitors.
Customer service has always solved my issues in a relatively short period of time.

This is our go-to virtual data room for all fundraising and other M&A activities. The finance team is the owner of the system and collects/uploads content to the system as well as manages external permissions to the data room. The reason this excels over a standard solution like a file sharing drive is the granular content permissions. With just one data room, we can easily permission multiple groups at the folder or file level. The new file notifications are a key time saver, instead of emailing people when new items are loaded.
  • 24/7 help desk is the top differentiator. Every help desk agent I've interacted with has really known the product end to end.
  • Cross-platform compatible with no plug-ins, software downloads needed.
  • Beautiful UI, looks very professional
  • Reporting at the page level (with timestamps)
  • Small issue, but the ability to replace a file to an unpublished state.
  • Ability to clone security profiles.
  • Mobile app development.
Best suited for all things capital raising and M&A. It is a purpose built tool for a multi-party, multi-process event. For processes that are just with a single party, your org has to evaluate if it is worth the cost. Recurring work like board deck or investor distributions are not appropriate for this service.
  • Big time saver on having one data room (instead of a shared folder for each party). Private equity and strategic buyers all know the tool well, so they appreciate if you choose this top solution.
  • Mitigating against the unknown security event or reps/warranties dispute is the big ROI if either should happen. With the advanced reporting, your team has airtight proof that the relevant info was disclosed and viewed.
  • Really streamlines the administration end of content sharing. Like user provisioning, deprovisioning.
Superior UI/look and feel. Also, the helpdesk is a clear differentiator. You get what you pay for in this type of software. There will always be cheaper solutions.
Very intuitive system, mostly drag and drop. There are ample opportunities for user and admin training with the Merrill staff as well.

We use Merrill DatasiteOne to review due diligence documents uploaded by a target company. It is normally used by all lawyers on a transaction team, with the more junior lawyers conducting more of the due diligence. Sometimes template transaction documents will be uploaded to the datasite, where the transaction is part of a bid process.
  • Automatic text recognition on uploaded files (including PDFs).
  • Search: when combined with the text recognition on files, this creates a powerful search feature that allows you to search for content within all of the uploaded files.
  • E-mail updates, when new files have been uploaded.
  • Frankly, I can't think of any missing features or things that need to be improved. From the perspective of the user who is reviewing documents, it works quite well.
Merrill DatasiteOne is well suited to large corporate/asset transactions where there are a large volume of documents that need to be provided to the other side, and where additional documents need to be uploaded during the course of the transaction (either because the documents are still being gathered or because there are supplemental due diligence requests).
Merrill Datasite is less well suited to smaller transactions -- for smaller transactions, it might make more sense to just deliver the due diligence documents by USB or e-mail.
Similarly, Merrill Datasite does not appear to be as well suited for collaboration (sharing files between two or three organizations that are working collaboratively). Dropbox seems to be a more common way to solve this type of issue.
  • Merrill DatasiteOne has had a positive impact by allowing us to review large amounts of documents under tight timelines.
  • Really it is just a tool to serve the larger business objective of completing due diligence for our clients.
  • I don't think I've ever had a negative experience when the target has elected to use Merrill DatasiteOne for their datasite.
Most of the time we do not have an option to select one data site over the other -- that's chosen by the target internally, and the lawyers just have to use it. Most of the major data room sites tend to have pretty similar features, so while I think Merrill DatasiteOne is great, it is also hard to point out any particular feature that it has and its competitors do not.
I give Merrill DatasiteOne a high rating because it just works. From the lawyer's perspective, we want the software to "just work" because it helps us be efficient and keep fees lowers for clients. Merrill DatasiteOne has a clean interface and is easy to use, so it allows the lawyer to focus on the legal work, rather than on bells and whistles or on resolving software issues.
